1. Agreement to Terms

By accessing or using the website and services provided by A5 Payments (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

A5 Payments provides payment terminal sales, merchant account services, key injection services, and related support. Our services include but are not limited to:

• Sale and distribution of payment terminals
• Merchant account application and activation
• Payment processing through authorized partners
• Key injection and terminal configuration for existing processors
• Ongoing technical support and customer service

3. Eligibility

To use our services, you must be at least 18 years of age, have the legal authority to enter into a binding agreement, and operate a legitimate business. By using our services, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features, you may be required to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Payment Terms

All fees and charges are described on our pricing page and in your merchant agreement. Payment terms include:

• Transaction fees are charged on a per-transaction basis at the rate specified in your plan
• Monthly platform fees (if applicable) are billed at the beginning of each billing cycle
• Terminal purchases are charged at the time of order
• All fees are non-refundable unless otherwise stated

6. Terminal Sales and Shipping

Terminals purchased through A5 Payments are subject to the following conditions:

• Shipping times are estimates and not guarantees; overnight shipping is subject to carrier availability
• Free terminals provided with merchant account signup remain the property of A5 Payments if the account is closed within the first 12 months
• Terminals purchased outright are owned by the buyer
• Manufacturer warranties apply; A5 Payments is not responsible for hardware defects beyond the warranty period

7. Acceptable Use

You agree not to use our services to:

• Process transactions for illegal activities
• Violate any applicable laws, regulations, or card network rules
• Engage in fraudulent or deceptive practices
• Process transactions on behalf of undisclosed third parties
• Interfere with or disrupt our services or systems

8. Termination

Either party may terminate the service relationship at any time without penalty, unless otherwise specified in a separate merchant agreement. We reserve the right to suspend or terminate your account immediately if we believe you have violated these Terms or are engaged in fraudulent activity.

9. Limitation of Liability

To the fullest extent permitted by law, A5 Payments shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you to us in the twelve months preceding the claim.

10. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless A5 Payments and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms on our website and updating the “Last updated” date. Your continued use of our services after changes constitutes acceptance of the updated Terms.
